H&W Ingredients is a food ingredient brokerage and distribution company serving food manufacturers throughout the United States. We represent independent suppliers and, through Dayton Foods, provide warehousing and distribution services. The Site provides general information about the ingredients, suppliers, technical services, and distribution capabilities we offer.
2. Business Use Only
The Site is intended for use by food manufacturers, suppliers, and industry professionals acting on behalf of a business. By using the Site, you represent that you are at least 18 years of age and are authorized to act on behalf of the business you represent. The Site is not intended for consumer purchases.
3. Informational Content; No Offer
Product descriptions, ingredient categories, applications, supplier listings, and technical information on the Site are provided for general informational purposes only. They do not constitute an offer to sell, a warranty, a product specification, or a guarantee of availability, pricing, or suitability for any particular application.
All purchases, samples, and services are subject to separate written quotations, purchase orders, credit approval, product specifications, certificates of analysis, and supply agreements. In the event of any conflict between the Site and a signed agreement, the signed agreement controls.
Ingredient availability, specifications, and supplier relationships may change without notice.
4. Supplier Relationships and Third-Party Products
H&W Ingredients acts as a broker and distributor for independent suppliers. Suppliers named on the Site are separate companies. Their trademarks and logos are the property of their respective owners and are displayed to identify the products we represent. H&W Ingredients does not manufacture the ingredients it represents and is not responsible for the content of supplier websites linked from the Site.
5. Technical Services
Product development support, R&D project management, sampling, specification development, document management, and audit assistance described on the Site are offered subject to separate engagement terms. Nothing on the Site constitutes food safety, regulatory, nutritional, or legal advice. You are solely responsible for confirming that any ingredient meets your product’s regulatory, labeling, allergen, and quality requirements.
6. Customer Portal Accounts
If you are provided access to the customer portal, you agree to:
Provide accurate and current account information
Keep your login credentials confidential and not share them with unauthorized persons
Notify us immediately of any unauthorized use of your account
Use the portal only for legitimate business purposes related to your relationship with H&W Ingredients
You are responsible for all activity under your account. We may suspend or terminate portal access at any time, with or without notice, for any breach of these Terms or for security reasons.
7. Contact Form and Communications
When you submit an inquiry through the Site, you agree that we may contact you by email, phone, or text message at the contact information you provide, and that we may share your inquiry with the relevant supplier to fulfill your request. Standard message and data rates may apply. You may opt out of marketing communications at any time.
8. Careers and Applications

Use supplier logos or content from the Site to imply an endorsement or relationship that does not exist

We do not control, endorse, or assume responsibility for the content, products, or privacy practices of any third-party site. Your use of third-party sites is at your own risk.
12. Disclaimer of Warranties

13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, H&W INGREDIENTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING UNDER SEPARATE WRITTEN SALES OR SERVICE AGREEMENTS, WHICH ARE GOVERNED BY THEIR OWN TERMS.
14. Indemnification
You agree to indemnify, defend, and hold harmless H&W Ingredients and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of those courts.
16. Changes to the Site and These Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may revise these Terms at any time by posting an updated version with a new “Last Updated” date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
17. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and H&W Ingredients regarding use of the Site and supersede any prior understandings regarding the Site. They do not replace or modify any separate written agreement governing the purchase of products or services.
